BlueSound Creative – General Terms of Services

These Terms of Service (“Agreement”) govern the relationship between BlueSound Creative (“Service Provider,” “we,” “us,” or “our”) and all clients (“Client,” “you,” or “your”). By engaging our services or using our website, you agree to these terms.


1. Introduction

BlueSound Creative provides creative, web hosting, support, branding, design, marketing, and related digital services as described in your project proposal or agreement.


2. Scope of Services

The scope, deliverables, and timelines for services will be outlined in your project proposal or statement of work (SOW). Any additional work or out-of-scope requests may incur extra charges, which will be communicated in advance.


3. Payment Terms

  • 3.1 Fees: All fees for services will be outlined in your project proposal or SOW.
  • 3.2 Payment Schedule: Payments are due as specified in your agreement, typically within thirty (30) days of invoice issuance. Late payments may incur a 1.5% monthly interest charge on overdue amounts.

4. Termination and Notice Period

  • 4.1 Termination by Either Party: Either party may terminate this Agreement by providing ninety (90) days’ written notice to the other party. During this notice period, both parties shall continue to fulfill their obligations under the Agreement, including payment for services rendered up to the effective date of termination.
  • 4.2 Expedited Termination: If the Client wishes to terminate this Agreement without providing ninety (90) days’ notice, the Client agrees to pay a termination fee equivalent to ninety (90) days of service fees (“Termination Fee”). Payment must be received in full within seven (7) days of the effective date of termination, unless otherwise agreed in writing. Late payments may result in delayed handover or additional storage/administrative fees.
  • 4.3 Termination for Cause: Either party may terminate this Agreement immediately if the other party breaches any material term and fails to cure such breach within thirty (30) days of written notice.

5. Handover and Migration (Terms of Service)

  • 5.1 Handover of Assets: Upon receipt of all outstanding fees, including any applicable Termination Fee, the Service Provider will prepare and provide all project-related files and assets necessary for migration within fourteen (14) business days.
  • 5.2 New Service/Hosting Arrangements: The Client is responsible for securing a new service or hosting provider and providing the necessary access details to the Service Provider within fourteen (14) days of termination. The Service Provider will coordinate directly with the new provider to facilitate a smooth migration. If access details are not provided within fourteen (14) days, additional storage or service fees may apply.
  • 5.3 Transition Assistance: We will offer reasonable assistance during the transition period to ensure a smooth handover of services. Additional fees may apply for extended support.

6. Data Security & Privacy

Both parties agree to take reasonable measures to ensure the security and privacy of all website data during the migration process. After the handover, the Service Provider is not responsible for any data loss, breaches, or issues on the new hosting environment. We comply with all applicable data protection laws. 7. Release of Liability (Terms of Service)

Upon completion of the migration and handover of all assets, the Service Provider is released from any further responsibility for hosting, support, or maintenance of the project or website.


8. Warranties & Indemnification

The Service Provider makes no warranties regarding compatibility with the new hosting environment. The Client agrees to indemnify and hold harmless the Service Provider from any claims or damages arising from the migration or use of the website or project on the new host.


9. Intellectual Property Rights (Terms of Service)

Upon full payment, you will own the final deliverables. BlueSound Creative retains the right to showcase completed work in our portfolio and marketing materials. Any third-party materials used will be subject to their respective licenses.


10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information obtained during the course of the engagement and not to disclose it to any third party without explicit consent.


11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior arrangements. BlueSound Creative may update these Terms of Service periodically. Clients will be notified of any material changes. Continued use of our services constitutes acceptance of the updated terms.


12. Governing Law & Dispute Resolution (Terms of Service)

This Agreement shall be governed by the laws of the state in which BlueSound Creative operates. Both parties agree to attempt to resolve any disputes amicably through mediation or arbitration before pursuing legal action.
